1. Overview

This website is operated by TMY Products LLC, doing business as MK Professional ("MK Professional," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of mkprofessional.com, together with any related MK Professional websites, subdomains, professional portals, mobile experiences, and services operated by TMY Products LLC (collectively, the "Site"), including all information, tools, content, products, and services available through the Site.

By visiting the Site, creating an account, or purchasing something from us, you agree to be bound by these Terms, including any additional terms, conditions, and policies referenced herein or available by hyperlink — including our Privacy Policy and our Shipping and Return Policy, which are incorporated into these Terms by reference. If you do not agree to all of these Terms, you may not access the Site or use our services.

Any new features, tools, or products added to the Site are also subject to these Terms. We reserve the right to update, change, or replace any part of these Terms by posting updates to this page. Your continued use of the Site following the posting of changes constitutes acceptance of those changes.

Our store is hosted on Shopify Inc., which provides the e-commerce platform that allows us to sell our products and services to you.

2. Eligibility

By agreeing to these Terms, you represent that you are at least the age of majority in your state or jurisdiction of residence, or that you are the age of majority and have given consent for any of your minor dependents to use this Site under your supervision. You may not use our products or the Site for any illegal or unauthorized purpose, nor may you, in the use of the Site, violate any laws in your jurisdiction.

3. General Conditions

We reserve the right to refuse service to anyone, for any lawful reason, at any time. You understand that your content (excluding payment card information) may be transferred unencrypted and involve transmissions over various networks and changes to conform to technical requirements. Payment card information is always encrypted during transfer over networks.

You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site or the services through which the Site is provided without our express written permission. The headings used in these Terms are included for convenience only and do not limit or otherwise affect these Terms.

4. Accounts and Registration

To access certain features of the Site, including professional pricing, you may be required to create an account. When you create an account, you agree to provide accurate, current, and complete information and to keep that information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at info@mkprofessional.com of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to safeguard your account.

We reserve the right to suspend or terminate any account, at our sole discretion, if we believe the account has been used in violation of these Terms.

5. Professional Accounts (PRO Program)

MK Professional offers professional accounts to licensed cosmetologists, barbers, estheticians, stylists, salon and spa owners, and other verified beauty industry professionals ("Professional Customers"). Professional accounts provide access to professional-only products and professional pricing.

a. Application and Verification. To apply for a professional account, you may be required to provide documentation such as a valid cosmetology or professional license, business license, resale certificate, or other proof of professional status. We reserve the right to approve, deny, suspend, or revoke professional account status at our sole discretion, at any time, with or without notice.

b. Professional Pricing. Professional pricing, discounts, and promotional offers made available to Professional Customers may vary by product or collection and are subject to change at any time without notice. Professional pricing is a benefit of an approved professional account and is not guaranteed. Professional pricing information is provided for your business use and may not be published, shared, or distributed publicly.

c. Professional-Only Products. Certain products sold on the Site are intended for professional use only ("Professional Products"). Professional Products may be visible to all Site visitors but may only be purchased by approved Professional Customers while logged in to their professional account. You agree not to circumvent, or attempt to circumvent, any access restrictions or gating mechanisms on the Site.

d. Authorized Use and Resale. Products purchased at professional pricing are intended for use in your professional services and/or resale to your clients through your salon, spa, or professional business. Unless you have received our prior written authorization, you agree not to resell, distribute, or divert products purchased from us (i) through third-party online marketplaces (including but not limited to Amazon, eBay, and Walmart Marketplace), (ii) to other resellers, distributors, or exporters, or (iii) outside of your own professional business. Unauthorized resale or diversion may result in cancellation of pending orders, revocation of professional account status, and any other remedies available to us at law or in equity.

e. Account Integrity. Professional accounts are issued to a specific individual or business and may not be shared, transferred, or used to purchase on behalf of unapproved third parties.

f. Tax and Resale Documentation. Professional Customers purchasing for resale are responsible for providing valid resale or tax exemption documentation where applicable. In the absence of valid documentation, applicable sales tax will be charged as required by law.

6. Products and Product Information

We make every effort to display our products and their descriptions, ingredients, images, and pricing as accurately as possible. However, we cannot guarantee that your device's display of any color, texture, or detail will be accurate. All descriptions of products and pricing are subject to change at any time without notice, at our sole discretion. We reserve the right to discontinue any product at any time and to limit the quantities of any products that we offer. We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations.

Individual results from our products vary based on hair type, hair condition, application method, and other factors. Before-and-after imagery and testimonials on the Site reflect individual experiences and are not a guarantee of results.

7. Product Use and Safety

Our products are cosmetic products intended for external use only. You agree to read and follow all product labels, instructions, and warnings before use. We recommend performing a patch test at least 48 hours before full application of any new product, and discontinuing use immediately if irritation, redness, or discomfort occurs. Keep all products out of the reach of children.

Professional Products are formulated for application by, or under the supervision of, licensed professionals. If you purchase or use Professional Products without professional training, you do so at your own risk. If you are pregnant, nursing, have a sensitive scalp or skin condition, or have known allergies, consult a physician before using our products.

Nothing on the Site — including product descriptions, blog articles, or customer communications — constitutes medical advice, and no product sold on the Site is intended to diagnose, treat, cure, or prevent any disease or medical condition.

8. Pricing and Payment

All prices are listed in U.S. dollars (USD) unless otherwise noted. Prices for our products are subject to change without notice. We shall not be liable to you or any third party for any modification, price change, suspension, or discontinuance of any product or service.

By providing a payment method, you represent and warrant that you are authorized to use it and you authorize us (and our payment processors) to charge your payment method for the total amount of your order, including applicable taxes, shipping, and handling. If your payment method cannot be verified, is invalid, or is otherwise not acceptable, your order may be suspended or cancelled. Applicable sales tax will be calculated and applied at checkout as required by law.

9. Orders

Your placement of an order constitutes an offer to purchase, which we may accept or decline at our sole discretion. We reserve the right to refuse or cancel any order for any reason, including, without limitation: product availability; errors in product or pricing information; suspected fraud or unauthorized activity; suspected unauthorized reseller or diversion activity; misuse of professional pricing or professional account access; or violations of these Terms. We may also, at our sole discretion, limit or cancel quantities purchased per person, per household, per business, or per order, including orders placed under the same customer account, the same payment method, or the same billing or shipping address. If we change or cancel an order, we will attempt to notify you using the email address or phone number provided at the time the order was placed.

You agree to provide current, complete, and accurate purchase and account information for all purchases made through the Site, and to promptly update your account and payment information as needed so that we can complete your transactions and contact you.

10. Shipping and Delivery

Shipping methods, costs, timelines, and any free shipping thresholds are described in our Shipping and Return Policy and at checkout. Delivery timeframes are estimates only and are not guaranteed; we are not responsible for delays caused by carriers, weather, customs, or other events outside of our reasonable control. Risk of loss and title for products pass to you upon our delivery of the products to the carrier.

For international orders, you are responsible for any customs duties, import taxes, brokerage fees, or other charges imposed by the destination country, and for ensuring the products you order may be lawfully imported to your location. You are responsible for providing a complete and accurate shipping address; we are not responsible for orders shipped to an incorrect address provided by you.

11. Returns and Refunds

Our return and refund practices, including our 30-day return window, are described in our Shipping and Return Policy, which is incorporated into these Terms by reference. Unless otherwise stated, professional and wholesale orders may be subject to different return terms. Nothing in these Terms limits any rights you may have under applicable consumer protection laws.

12. Discounts and Promotions

Discount codes, promotional offers, and special pricing (including new subscriber discounts) are subject to the specific terms stated with each offer. Unless otherwise stated, discount codes are limited to one per order, cannot be combined with other offers, have no cash value, and cannot be applied to previous purchases. We reserve the right to modify, suspend, or end any promotion at any time and to cancel orders that misuse promotional offers.

13. Marketing Communications

By subscribing to our newsletter, opting in to text messaging, or providing your contact information in connection with a promotional offer, you consent to receive marketing emails and/or text messages from MK Professional. Consent to marketing messages is not a condition of any purchase. Message and data rates may apply to text messages. You may unsubscribe from emails at any time using the link in any marketing email, and you may opt out of text messages by replying STOP. Our collection and use of your personal information is governed by our Privacy Policy.

14. Intellectual Property

The Site and all of its content — including text, graphics, logos, images, photographs, videos, product names, trade dress, and software — are the property of TMY Products LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. "MK Professional," "Majestic Keratin," and our associated logos and product names are trademarks of TMY Products LLC. You are granted a limited, revocable, non-exclusive license to access and use the Site for personal shopping or authorized professional purchasing purposes. No other use of the Site or its content — including reproduction, modification, distribution, or commercial use — is permitted without our prior written consent.

15. User Content, Reviews, and Feedback

If you submit reviews, comments, photos, suggestions, ideas, or other materials to us or the Site (collectively, "Submissions"), whether at our request or unsolicited, you grant us a perpetual, worldwide, royalty-free, irrevocable license to use, reproduce, modify, publish, translate, distribute, and display those Submissions in any media, without restriction and without compensation to you. We are under no obligation to maintain Submissions in confidence or to respond to them.

You represent that your Submissions are your own, do not violate the rights of any third party (including copyright, trademark, privacy, or publicity rights), and do not contain unlawful, defamatory, obscene, or otherwise objectionable material, malware, or false information. We may, but have no obligation to, monitor, edit, or remove Submissions at our sole discretion. You are solely responsible for your Submissions and their accuracy.

16. Affiliate Program

Participation in the MK Professional affiliate program is subject to separate affiliate terms and conditions presented during affiliate registration. In the event of a conflict between those affiliate terms and these Terms with respect to affiliate activity, the affiliate terms control.

17. Third-Party Links and Tools

The Site may provide access to third-party tools, links, and content that we do not monitor or control (including payment processors, shipping carriers, social media platforms, and third-party websites). Any use of third-party tools or websites is at your own risk, and we make no warranties regarding them. Complaints, claims, or questions regarding third-party products or services should be directed to the third party. We encourage you to review the terms and privacy policies of any third-party site you visit.

18. Prohibited Uses

In addition to other prohibitions set forth in these Terms, you may not use the Site or its content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, state, or local law or regulation; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, or discriminate against anyone; (f) to submit false or misleading information, including false professional credentials; (g) to upload or transmit viruses or any other type of malicious code; (h) to collect or track the personal information of others; (i) to spam, phish, scrape, crawl, or use bots or automated means to access the Site; (j) to interfere with or circumvent the security features of the Site, including professional gating or access restrictions; or (k) to purchase products for unauthorized resale or diversion. We reserve the right to terminate your use of the Site for violating any of the prohibited uses.

20. Errors, Inaccuracies, and Omissions

Occasionally there may be information on the Site that contains typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times, or availability. We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information or cancel orders if any information on the Site is inaccurate, at any time without prior notice — including after you have submitted your order. To the fullest extent permitted by applicable law, in no case shall TMY Products LLC, MK Professional, or our directors, officers, employees, affiliates, agents, contractors, suppliers, service providers, or licensors be liable for any indirect, incidental, punitive, special, or consequential damages of any kind — including lost profits, lost revenue, lost savings, loss of data, or replacement costs — arising from your use of the Site or any products purchased through the Site, whether based in contract, tort (including negligence), strict liability, or otherwise, even if advised of the possibility of such damages. To the fullest extent permitted by law, our total liability for any claim arising out of or relating to these Terms or your use of the Site shall not exceed the amount you paid to us for the product or service giving rise to the claim. Because some states or jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, in such states or jurisdictions our liability shall be limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless TMY Products LLC, MK Professional, and our parents, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, and employees from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of these Terms or the documents they incorporate by reference, your violation of any law or the rights of a third party, or your misuse of any product purchased through the Site.

24. Severability

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms. Such determination shall not affect the validity and enforceability of the remaining provisions.

25. Termination

These Terms are effective unless and until terminated by either you or us. You may terminate these Terms at any time by notifying us that you no longer wish to use the Site, or by ceasing to use the Site. If, in our sole judgment, you fail to comply with any term or provision of these Terms, we may terminate this agreement at any time without notice, and you will remain liable for all amounts due up to and including the date of termination. The obligations and liabilities of the parties incurred prior to the termination date — including the sections on intellectual property, disclaimers, limitation of liability, indemnification, and governing law — shall survive termination.

26. Entire Agreement; Waiver

These Terms, together with the policies and documents incorporated by reference, constitute the entire agreement between you and us with respect to the Site and supersede any prior agreements or communications on the same subject. Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.

27. Governing Law and Disputes

These Terms and any separate agreements whereby we provide you products or services shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles. Before filing a claim, you agree to first contact us at info@mkprofessional.com and attempt in good faith to resolve the dispute informally. Any dispute that cannot be resolved informally shall be brought exclusively in the state or federal courts located in the State of New Jersey, and you consent to the personal jurisdiction of those courts.

We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms by posting updates to the Site.
